NOTICE OF ILLEGAL MEETINGS AND APPOINTMENT OF DIRECTORS AND SECRETARY
We write in respect of the above subject matter.
We wish to draw your attention to a supposed meeting held by some persons to illegally remove
our Angela List as a director of the company and to appoint new directors, namely Jeremy List.
Pursuant to such illegal meeting, the said persons, proceeded to hold a board meeting to appoint
one David Abini as a secretary and one Isaac Ackun as a Managing Director. It is instructive to
note that even the Government representative was not present at this illegal meeting.
We wish to indicate that the meetings held by these persons are illegal and the company has
instructed its lawyers to commence legal action against them. As you are aware, the ownership
and control of mining companies is determined by the Minister, Lands and Natural Resources and
the Minerals Commission. Pursuant to an approval of the Minister, Nguvu Mining Limited is the
legal shareholder, holding 90% of the issued shares of the company, with the Government of
Ghana, holding 10%. Thus, no person, other than the above named persons, can hold any
meetings of our company.
We would urge you to disregard any notices, resolutions or minutes received from these persons
in an attempt to illegally take over the company. From our search at the Companies Registry,
Nguvu Mining and the Government of Ghana are the shareholders and the only registered directors
are: Angela List, Joseph Owusu-Ansah, Dr. Anthony Aubynn, and Rebecca Donkor (the
Government Appointee).
We are counting on your cooperation.
Yours sincerely,
